    Description

    Position Overview

    Support all business functions in contractual drafting, analysis and support for their business activities.

    Roles and Responsibility


    • Drafting contracts (service contracts, supply contracts, framework contracts, goods contracts, client contracts) and providing legal support to all areas of the business.


    • Ability to analyse numerous operations contracts and explain consequences under each contract in any given scenario


    • Draft Memorandums of Understanding, new business contracts, customer delivery contracts with new partners/clients.


    • Assistance with supporting drafting of all operational policies and procedures to reflect and ensure compliance with revised contractual structure of the company.


    • Review and provide amendments to ensure compliance with reporting obligations for clients, asset owners and shareholders.


    • Interpret and ensure compliance with joint venture arrangements that govern the company, including Memorandum of Association and applicable laws.


    • Ensure updates to and creation of new templates of the contracts used for the procurement of the goods and services and client contracts.


    • Strong drafting ability


    • Review and clear deviations submitted by the contractors at the tender stage of the procurement process.


    • Participating at all negotiation meetings with Clients, partners and contractors.


    • Follow up on the contractual claims with suppliers and service providers.


    • Strong legal understanding of transition between construction build phase, through testing and commissioning through to start up operations


    • Maintain physical filing of contracts.


    • Provide legal support to operations as directed by the head of the department or executive management.


    • Perform any other task or participate to any other business as may be assigned.


    • Prepare, assist and coordinate with preparation of Board packs and submissions.

    Desirable qualifications, skills and experience

    Academic Qualifications:


    • Master or Bachelor in Law.

    Professional Qualifications:


    • A qualified and practicing commercial lawyer with good all round commercial knowledge, projects experience and an enthusiastic desire to work in a multi-cultural environment in the UAE.

    Experience:


    • Minimum 5 years' experience in a projects legal department of an international company and/or law firm in dealing with drafting contracts.


    • Must be a qualified lawyer.


    • Fluent in English (excellent writing, drafting and speaking skills), fluency in Arabic is a plus.

    Other Skills:


    • Flexible and ability to manage stress and meet tight deadlines.

    • Ability to follow instructions and work closely with hierarchy.


    • Ability to identify and highlight risk and financial exposure for the company.


    • Ability to explain complicated contractual structures in layman's terms.
