A senior commercial lawyer with 14 years' technology-focused experience, including:

Commercial and Transactional:

• Advising on and negotiating technology and commercial licensing agreements (e.g. XaaS and on-premise) across a range of service-types and sectors including e-commerce, fintech/ financial services, adtech and martech.
• Advising on and negotiating agreements for consulting and managed services, statements of work, work orders and scopes of work. 

Regulatory and Operational:

• Regulatory and compliance advisory, including financial services and consumer marketing regulations (e.g. UK ASA and CAP Rules, New Deal for Consumers and Omnibus Directive), as well as e-money and digital currency and stored value instruments (e.g. gift cards and loyalty schemes) and price establishment laws.
• Licensing, structuring, resourcing and operationalising of (regulated) businesses in the UK, Middle East and APAC regions.
• Experience dealing with numerous regulators and company authorities in three continents, including the UK ASA.
• Application and filing of exemptions and exclusions under various relevant financial services laws (e.g. PSD2 and US CFRs) for processing of payments.

• Mergers, acquisitions and reorganisations (I have worked on tens of M&A deals and negotiated numerous SPAs and APAs, as well as reorganising groups for divestment comprising tens of subsidiaries)
• Financing and fundraising (e.g. I have led on a £ multi-tens-of-million placement during Covid lockdown).
• Employment.
• Dispute Resolution (e.g. I have successfully resolved c.5 supplier disputes as well as a threatened consumer class action with a combined value in excess of £100 million).

Bachelor's Degree in Business Administration from the University of Birmingham (UK) 2002-2006 - 2(i) with Honours
