**Key Responsibilities: - Compliance role_

  • Develop and document acompliance calendar for each entity
  • Liaise with listings managers of listed entities, building good rapport
  • Maintain a compliance reporting templates framework and train users
  • For listed entities, prepare reporting deadlines and ensure timely compliance by coordinating with the local teams
  • Periodic/timely negotiation of engagement terms with the advisors working on compliance matters
  • Review and finalise engagement lettersof external compliance consultants,in conjunction with top management
  • Track actual compliance reporting versus targets and prepare a compliance score for each entity and a compliance report for top management
  • Legal role_
  • Working knowledge of international corporate laws and mining, industrial and labour laws (particularly South Africa) and a willingness to expand knowledge base by learning about applicable laws for new jurisdictions
  • Ability to prepare first draft of agreements and contracts, including, and particularly, those without precedence, demonstrating excellent conceptual understanding of typical legal and commercial terms and considerations
  • Commercially evaluate options for selection of advisors, by obtaining and reviewing alternate quotations, negotiating best rates, including but not limited to quality and timing of service, credit arrangements, discounts on chargeout rates and rebates for lengthy proceedings
  • Maintain and strengthen ongoing relationships with legal advisors/counsel, and build new relationships, through constant communication
  • Periodic/timely negotiation of engagement terms with the advisors working on legal matters
  • Obtain and manage credit terms and arrange for timely setup of legal advisors' files, through execution of relevant documents provided by the counterparty
  • Monitor progress of ongoing legal matters, for timely reporting to top management and tracking action points for expeditious settlement of open matters
  • Proactively learn about new laws/regulations or changes to existing laws and regulations, and receive regular updates in this regard by engagingwith various service providers
  • Review and recommend legal invoices for paymentand also monitor legal costs, to ensure optimization and avoid exceeding allocated budget for each matter
  • Focus on constant improvements to the department's processes and workflow
  • Perform high level legal due diligence on targets and prepare a scope of work for external legal advisors for a proposed transaction to the extent necessary and suitably consider these findings in deal documentation
  • Ability to manage internal and external stakeholders through communication, including timely feedback
  • Manage an uptodate dossier for all entities, maintaining registration/incorporation documents, legal correspondence, commercial agreements and legal proceedings, if relevant
  • Organise monthly MIS in a manner demonstrating the role, and achievements (both qualitative and quantitative) of the legal function across businesses
