    Roleoverview

    Toprovide support and assistance at the Affiliate Level in theprovision of legal services and the dispensation of legal advice tothe Affiliate with such other responsibilities as shall bedelegated by the Legal Counsel from time totime.

    Accountabilities

    A- BASICFUNCTIONS

    Handling legal related issues for theCompany.

    Handling legal matters and attend to routine legal queries arisingfrom the variousCompany

    departments.

    Handling Legal Regulatory compliance assignments for the variousCompanydepartments.

    Handling employee related legal issues in consultation with theCompany s HumanResource

    Department.

    Provide legal opinions and guidance to the various businesslines.

    B-PRINCIPALACCOUNTABILITIES

    Draft and review various commercial legal agreements between theCompany and variouspartners.

    Carry out legal research involving the Company in relation togovernment regulatory policies, safety aspects, conveyance andcommercial matters, and all other business aspects to ensure fullcompliance

    withthe relevantlaws.

    Management of the Company s debt portfolio comprising, debtcollection, recovery procedures andset

    upof payment plans for the company s tenants and trade debtors inliaison with the variousbusiness

    linemanagers.

    Management of the Company s litigation portfolio includingmanagement, in liaison withexternal

    lawyersof any litigation matters involving the organization with regard toboth civil and criminalmatters

    andassist in conducting pretrial meetings withwitnesses.

    Reporting to and actioning the Company s stewardship committeedecisions as related to thelaw

    departmentincluding Audit and Controls Committee, and CreditCommittee)

    Attend and represent the Company in inter- oil Company forumsinvolving draftingIndustry

    Agreements.

    Attend to routine legal queries arising from the various businesslines and from external parties tothe

    organization.

    Negotiate legal fees with outside counsel and review of feenotes.

    Creation and stewardship of a legal and regulatory compliancemanual.

    Review of all company securities and commercial related documentsrelating to the company(e.g.

    Charge& mortgage documents, leases, loan agreement, saleagreementsetc).

    Manage the stewardship of the Company s legal panel to ensure up todate information on alllitigious

    mattersregarding theCompany.

    Stewardship, in liaison with external lawyers, any intellectualproperty matters involvingthe

    organization.

    Review guarantees received from various customers and advise theAccounts and FinanceDepartment

    onwhether they conform to Companyrequirements.

    To assist and provide legal support to Special Projects as and whennecessary, as delegated by theLegal

    Counsel.

    To represent the Legal Department as the departmental riskchampion.

    SkillsandQualifications

    AcademicQualifications

    UniversityDegree inLAW

    Diplomain Law (Kenya School ofLaw)

    AnAdvocate of the High Court of Kenya with a Current practicecertificate

    PracticingCompany Secretary (will be an addedadvantage)

    ProfessionalExperience

    Atleast 5 years post-qualification experience in a busy law firm orcorporatebody.

    Demonstratestrong basic written and oral communication skills and attention todetail.

    Exceptionaldrafting and negotiationskills.

    Experiencein complex commercial transactions and commerciallitigation

    Focused,capacity to deliver in high-pressuresituations
